This Terms of Service Agreement ("Agreement") is entered into by and between BTL Operations LLC, a Wyoming company ("BTL Operations," "we," "us," or “our”), and you ("Client," "you," or "your"). This Agreement governs our services to you, including e-commerce brand operations, consulting, and related services in, but not limited to, the Amazon ecosystem (the "Services"). By utilizing our Services, you agree to comply with and be bound by this Agreement. If you do not agree to these terms, we cannot provide you any Services.

1. Use Of Services

1.1 Eligibility: You must be at least 18 years old and capable of forming a binding contract with the Company to use our Services.

1.2 Business in Good Standing: By using our Services, you confirm that you operate a business in good standing within your jurisdiction and, if already operating within the Amazon ecosystem, you are in good standing with Amazon.

1.3 Service Levels: To access specific features and benefits outlined in our Service Levels, you may be required to subscribe to a particular service level or package. You are responsible for maintaining the confidentiality of your service level information and for all activities that occur within your subscribed service level.

1.4 Accuracy of Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2. Payments and Fees

2.1 Payments: You agree to pay all fees and charges associated with the Services as agreed upon between you and BTL Operations.

2.2 Refunds: Our refund policy is as outlined in our separate Refund Policy, which is incorporated herein by reference.

3. Intellectual Property

3.1 Ownership: All content and materials available on our website or provided as part of the Services, including but not limited to text, graphics, logos, images, audio clips, data compilations, software, and any proprietary systems and processes used by BTL Operations to provide the Services to you, are the exclusive property of BTL Operations or its licensors. They are protected by copyright, trademark, and other intellectual property laws.

3.2 License: Subject to your compliance with this Agreement, BTL Operations grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services, including any proprietary systems and processes, solely for your personal or internal business purposes. You agree not to modify, reproduce, distribute, create derivative works from, publicly display, publicly perform, or sublicense any of the content or materials without the express written consent of BTL Operations. This license does not grant you any right to use BTL Operations's name, logo, or trademarks unless expressly permitted in writing.

4. Disclaimer Of Warranties

4.1 No Warranties: The Services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

4.2 Reasoning: Our Services do not provide any “physical deliverables”. For this reason, we cannot produce a warranty. This is the same as hiring out your own internal employees. Our Services are labor focused and we “deliver” the labor necessary to operate your company. 

5. Limitation Of Liabilities

5.1 Limitation: In no event shall BTL Operations be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the level of Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party; (e) any unexpected market conditions that were not foreseeable.

5.2 Expectation: You understand and acknowledge that while BTL Operations endeavors to provide high-quality and reliable Services, the nature of e-commerce operations involves inherent uncertainties and external factors beyond our control. Therefore, BTL Operations does not guarantee specific outcomes, results, or sales figures as a result of using our Services. You agree to manage your expectations accordingly and recognize that actual results may vary. BTL Operations will make reasonable efforts to optimize and improve your e-commerce operations, but you acknowledge the absence of guarantees regarding specific business outcomes.

6. Termination

6.1 Termination: The Company may terminate or suspend your account and access to the Services, in its sole discretion, without notice and for any reason, including but not limited to a breach of this Agreement.

7. Governing Law

7.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Wyoming, without regard to its conflict of law principles.

8. Changes To The Agreement

8.1 Changes: BTL Operations reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By using our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
